OneClickHello Marketing Affiliate Program Agreement

PLEASE READ THIS AGREEMENT CAREFULLY.

This agreement ("Agreement") governs the relationship between OneClickHello Ltd. ("OneClickHello") and you, the "Affiliate." By participating in the OneClickHello Marketing Affiliate Program ("Affiliate Program"), you agree to the terms outlined below.

1. Updates to Terms

OneClickHello may update this Agreement periodically. Affiliates will be notified of changes via email or the Affiliate Program Dashboard. If you disagree with the new terms, you may terminate the Agreement as outlined below.

2. Definitions

Affiliate Program: The marketing program for promoting OneClickHello services.
Clawback: Events where subscription fees are refunded, canceled, or do not result in valid transfers.
End User: Clients using OneClickHello's services.
OneClickHello Services: Automation tools and AI-powered solutions offered by OneClickHello.
Affiliate: The party participating in the Affiliate Program.

3. General Rules

Upon acceptance, Affiliates gain access to the Affiliate Dashboard and a unique affiliate link ("Link") for promoting OneClickHello services online (e.g., blogs, social media, or websites). Successful referrals through the Link that upgrade to paid subscriptions generate commissions for the Affiliate.

Affiliates operate independently and are not employees, agents, or franchisees of OneClickHello. Affiliates cannot create obligations on behalf of OneClickHello or promote non-OneClickHello services.

OneClickHello reserves the right to accept or reject any End User attempting to register via the Link.

4. Affiliate Obligations

Affiliates must:

Ensure compliance with all applicable laws.
Display a privacy policy on their website when required, outlining data usage, cookies, and tracking.
Not negotiate or bind OneClickHello to agreements with End Users.
Avoid promoting OneClickHello in ways that harm OneClickHello’s brand or reputation.

Restrictions include no bulk or spam mailings, misleading campaigns, or use of OneClickHello trademarks without permission.

OneClickHello reserves the right to review and request changes to the placement and usage of the Link.

5. Affiliate Representation and Warranties

Affiliates must:

Avoid misleading End Users into believing they are an official partner of OneClickHello.
Not claim ownership of OneClickHello’s services or intellectual property.
Ensure their website does not contain offensive or inappropriate materials.

6. Trademark License

OneClickHello grants Affiliates a non-exclusive, limited license to use OneClickHello trademarks solely for approved promotional activities. All intellectual property remains the property of OneClickHello.

7. Commissions and Payment

Affiliates earn a 20% commission on eligible subscriptions made within 24 months of a referral, up to 24 payments per End User. Commissions appear in the Affiliate Dashboard within 14 days of receiving payment from an End User. Affiliates may request payouts once they accumulate €100 and have at least three End Users who subscribed.

Affiliates are responsible for any applicable taxes on commissions. OneClickHello may use third-party payment providers (e.g., PayPal), and Affiliates must register with approved providers.

In cases of Clawbacks, OneClickHello may cancel related commissions or offset them against future payments.

8. Term and Termination

Either party may terminate the Agreement at any time with written notice. Upon termination, Affiliates must stop using OneClickHello’s Link and branding immediately.

9. Indemnity

Affiliates agree to indemnify and hold OneClickHello harmless against any claims, damages, or losses arising from breaches of this Agreement, including claims related to intellectual property violations or misrepresentations.

10. Limitation of Liability

OneClickHello is not liable for indirect, incidental, or consequential damages. Total liability to the Affiliate shall not exceed the total commission paid under this Agreement.

11. Governing Law

This Agreement is governed by the laws of Ireland. All disputes will be handled within the Irish court system.

12. Final Provisions

Amendments in Writing: Changes to this Agreement must be in writing and signed by both parties.
Severability: If any provision is invalid, other parts of the Agreement remain enforceable.
Notices: Notices are effective one day after email or three days after postal service delivery.
Surviving Provisions: Provisions related to intellectual property, liability, and confidentiality remain in effect after termination.
Assignment: OneClickHello may assign this Agreement to associated entities, and Affiliates may not transfer their rights without consent.
